1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, online platforms, products, services, content, courses, live classes, workshops, and other educational services (collectively, the “Services”) provided by BrightChamps and its affiliates, subsidiaries, and related entities (“BrightChamps,” “Company,” “we,” “us,” or “our”).

By accessing, browsing, registering for, purchasing, enrolling in, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Refund & Cancellation Policy, BrightChamps User Policies, Children’s Privacy Notice (COPPA Notice), Teacher Trust, Safety & Professional Standards Policy (where applicable), and any other policies, guidelines, notices, disclosures, or supplemental terms made available through the Services or published on the Website, all of which are incorporated herein by reference and form an integral part of these Terms.

If you are accessing or using the Services on behalf of a minor, child, student, organisation, school, or other entity, you represent and warrant that you are authorised to accept these Terms on their behalf and agree to be fully responsible for such individual’s or entity’s use of the Services, including compliance with these Terms.

The Privacy Policy describes how BrightChamps collects, uses, stores, processes, shares, transfers, and protects personal data, including children’s data, and forms an integral part of these Terms.

The Services are intended to be used under the supervision and consent of a parent or legal guardian where required by applicable law. Parents and legal guardians are responsible for monitoring and supervising minors’ use of the Services, including participation in live classes, communications, and interactions conducted through the platform.

If you do not agree to these Terms or are not authorised to accept them, you must not access or use the Services.

We reserve the right, at our sole discretion, to modify, update, revise, or replace these Terms at any time. Any such modifications shall become effective upon posting or otherwise communicating the updated Terms through the Services.

YOUR CONTINUED ACCESS TO OR USE OF THE SERVICES AFTER THE EFFECTIVE DATE OF ANY CHANGES TO THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES. IF YOU DO NOT AGREE TO THE REVISED TERMS, YOU MUST DISCONTINUE USE OF THE SERVICES AND CANCEL YOUR ACCOUNT, WHERE APPLICABLE.

2. Definitions

For the purposes of these Terms, the following terms shall have the meanings set forth below:

“Account” means a registered account created by a User to access or use the Services.

“Applicable Laws” means all applicable laws, statutes, regulations, rules, regulatory guidance, governmental orders, and legal requirements applicable to the use of the Services.

“BrightChamps,” “Company,” “we,” “us,” or “our” means BrightChamps, including its affiliates, subsidiaries, successors, assigns, and related entities.

“Content” means all educational materials, videos, live sessions, recorded classes, text, graphics, images, software, code, curriculum, worksheets, quizzes, projects, designs, trademarks, logos, audio, visual content, learning modules, and other materials made available through the Services.

“Instructor” or “Teacher” means any educator, tutor, mentor, trainer, contractor, employee, or third-party service provider engaged by BrightChamps to provide or facilitate Services.

“Live Classes” means real-time online educational sessions, workshops, mentoring sessions, webinars, camps, tutoring sessions, or interactive learning experiences conducted through the Platform or any third-party communication tools.

“Parent” or “Guardian” means a parent, legal guardian, or other individual authorised to act on behalf of a minor Student.

“Platform” means the BrightChamps websites, mobile applications, student dashboards, communication systems, learning interfaces, software, tools, and related technological infrastructure through which the Services are made available.

“Services” means all products, services, courses, educational programs, live classes, self-paced learning modules, workshops, camps, competitions, assessments, mentorship sessions, support services, digital experiences, and related offerings provided or made available by BrightChamps through the Platform.

“Student” means any child, minor, learner, or participant enrolled in, attending, accessing, or otherwise using the Services.

“Subscription” means any recurring, instalment-based, bundled, prepaid, or ongoing paid plan, package, or enrollment arrangement for access to the Services.

“Third-Party Services” means any third-party platforms, software, tools, websites, payment processors, communication tools, integrations, or services that may be used in connection with the Services, including video conferencing and payment processing providers.

“User,” “you,” or “your” means any individual or entity accessing, browsing, registering for, purchasing, or using the Services, including Parents, Guardians, Students, visitors, and any authorised representatives.

“User Content” means any information, messages, images, videos, assignments, projects, feedback, reviews, submissions, communications, or other content uploaded, submitted, posted, transmitted, or otherwise provided by Users through the Services.

3. BrightChamps Platform and Services

BrightChamps is a technology-enabled educational platform that provides online learning experiences and educational services for students across K-12 and related learning segments. The Services may include, without limitation, live classes, one-on-one sessions, group sessions, offline classes, self-paced learning modules, workshops, camps, competitions, assessments, mentorship programs, educational content, and related learning experiences across academic and skill-based subjects.

The Services may cover various subject areas, including but not limited to coding, robotics, artificial intelligence, mathematics, science, financial literacy, communication skills, English language learning, logical reasoning, and other educational or extracurricular programs offered by BrightChamps from time to time.

BrightChamps may also provide parent-facing tools, dashboards, progress-tracking features, assessments, reports, and learning insights in connection with the Services.

The Services may be delivered through the BrightChamps Platform and/or through third-party communication, collaboration, payment, or technology tools integrated with the Platform.

BrightChamps reserves the right, at its sole discretion, to modify, update, suspend, discontinue, or enhance any aspect of the Services, including courses, curriculum, instructors, schedules, features, functionality, or learning formats, at any time, subject to Applicable Laws.

BrightChamps does not guarantee the availability of any specific instructor, course, feature, schedule, or educational outcome through the Services.

4. Eligibility and Use of the Platform

a. Eligibility and Registration Obligations

The Services may only be accessed and used by individuals who have the legal capacity and authority to enter into a binding agreement under Applicable Laws or by minors acting with the consent, involvement, and supervision of a Parent or Guardian. By accessing or using the Services, you represent and warrant that you meet all eligibility requirements set forth in these Terms.

The Platform is intended solely for personal, non-commercial educational use. Users may not access or use the Services for any unlawful, unauthorised, fraudulent, commercial, or improper purpose.

BrightChamps reserves the right, at its sole discretion, to refuse registration, reject enrollment requests, restrict access to the Services, suspend Accounts, or terminate participation in any program, class, or activity at any time and without liability.

b. Parent and Guardian Responsibilities

If you register, access, purchase, or use the Services on behalf of a Student or minor, you represent and warrant that you are the Parent or Guardian of such Student or are otherwise legally authorised to act on their behalf.

Parents and Guardians are solely responsible for:

  • supervising the Student’s use of the Services;
  • determining whether the Services are suitable for the Student;
  • ensuring compliance with these Terms and all applicable policies;
  • monitoring participation in Live Classes and interactions conducted through the Platform;
  • ensuring that the Student maintains appropriate behaviour during use of the Services;
  • ensuring that appropriate devices, internet connectivity, and learning environments are available for participation in the Services.

c. Member Account, Password, and Security

Users are solely responsible for maintaining the confidentiality and security of their Account credentials and for all activities conducted through their Account. Users agree to immediately notify BrightChamps of any unauthorised access to or suspected breach of their Account. Users may not transfer, share, sell, assign, sublicense, or otherwise permit any third party to access or use their Account unless expressly authorised by BrightChamps in writing.

d. Platform Usage and Operational Practices

Users agree to use the Platform in a lawful, respectful, and responsible manner and shall not:

  • misuse or attempt to gain unauthorised access to the Platform or related systems;
  • record, reproduce, distribute, publicly display, or exploit any class, session, or Content except as expressly permitted by BrightChamps;
  • upload or transmit harmful code, malware, or disruptive material;
  • harass, threaten, abuse, intimidate, or otherwise engage in inappropriate conduct toward any User, Instructor, or BrightChamps personnel;
  • use the Services for commercial solicitation, advertising, or unauthorised business activities;
  • impersonate another person or provide misleading or false information.

e. Class Recordings and Monitoring

BrightChamps may record, monitor, review, store, and maintain Live Classes, sessions, communications, and interactions conducted through the Platform for purposes including quality assurance, instructor evaluation, customer support, dispute resolution, safeguarding, and compliance. By using the Services, Users and Parents or Guardians expressly consent to the creation and use of such Class Recordings.

f. Promotions, Trials, Discounts, and Offers

BrightChamps may offer promotional campaigns, referral programs, discounts, coupons, scholarships, trial classes, bundled offers, credits, or other promotional benefits. All Promotions are subject to these Terms and any additional promotional terms communicated by BrightChamps at the time of the applicable Promotion. Promotional benefits are non-transferable, non-exchangeable, and have no cash value unless expressly stated otherwise.

5. Payments, Billing, and Subscription Terms

a. Fees and Payment Obligations

Users agree to pay all applicable fees, charges, subscription amounts, taxes, and other amounts associated with the Services selected or purchased through the Platform (“Fees”). All Fees are payable in the manner, currency, and payment schedule communicated by BrightChamps at the time of purchase, enrollment, or subscription. Unless otherwise expressly stated by BrightChamps in writing, all Fees are non-cancellable and subject to the applicable Refund and Cancellation Policy.

b. Subscription

Certain Services may be offered on a recurring, instalment-based, subscription, or automatically renewing basis. By purchasing a Subscription, Users authorise BrightChamps and its payment service providers to charge the applicable Fees on a recurring basis using the payment method provided at the time of purchase until the Subscription is cancelled in accordance with these Terms.

c. Payment Methods and Authorisation

BrightChamps may use third-party payment processors, gateways, financial institutions, or service providers to process payments. By submitting payment information, Users represent and warrant that they are authorised to use the selected payment method and that the payment information provided is accurate and complete.

d. Taxes, Currency, and International Payments

Users are solely responsible for applicable taxes, duties, levies, bank charges, transaction fees, foreign exchange charges, or governmental assessments associated with their purchase or use of the Services.

e. Failed Payments and Collection Rights

If any payment is declined, reversed, refunded, disputed, charged back, or otherwise unsuccessfully processed, BrightChamps reserves the right to suspend or terminate access to the Services, revoke promotional benefits, restrict participation, reattempt payment processing, or recover outstanding amounts through lawful collection methods.

f. Payment Disputes and No Set-Off

Users shall not withhold, offset, reduce, or delay payment of any Fees due to BrightChamps based on any dispute, dissatisfaction, or pending complaint, except as expressly required under Applicable Laws or the applicable Refund and Cancellation Policy. Any billing dispute must be raised with BrightChamps within thirty (30) days from the applicable charge date.

6. Intellectual Property Rights

a. Ownership of Platform and Content

The Platform, Services, and all content, materials, technology, and intellectual property made available through the Services, including curriculum, educational content, lesson plans, videos, recorded sessions, Class Recordings, live classes, teaching methodologies, coding exercises, projects, worksheets, assessments, quizzes, graphics, designs, text, audio, visual materials, software, source code, user interfaces, databases, trademarks, logos, course names, brand features, and related materials (collectively, “Platform Content”) are owned by or licensed to BrightChamps and are protected under applicable intellectual property, copyright, trademark, patent, trade secret, and other proprietary laws.

b. Limited License to Users

Subject to compliance with these Terms, BrightChamps grants Users a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Platform Content solely for personal, lawful, and non-commercial educational purposes. Users obtain only a limited right to use the Services and do not acquire any ownership rights in the Platform, Services, or Platform Content.

c. Restrictions on Use

Except as expressly permitted by BrightChamps in writing or under Applicable Laws, Users shall not:

  • copy, reproduce, modify, adapt, translate, distribute, publish, transmit, display, perform, sell, sublicense, lease, rent, or commercially exploit the Platform, Services, or Platform Content;
  • record, reproduce, redistribute, or share any Live Classes, Class Recordings, educational sessions, or Platform Content;
  • create derivative works based on the Platform, Services, curriculum, or Platform Content;
  • scrape, crawl, harvest, extract, or collect data, materials, or content from the Platform using automated or manual means;
  • use the Services, curriculum, or Platform Content to develop competing products, services, educational offerings, datasets, or artificial intelligence models;
  • reverse engineer, decompile, disassemble, bypass, or interfere with the Platform or related security or access-control mechanisms;
  • use the Services for commercial solicitation, resale, or unauthorised business purposes.

d. User Content

Users retain ownership of the intellectual property rights they lawfully hold in their User Content. However, by submitting or making available User Content through the Services, Users grant BrightChamps a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, adapt, modify, analyse, transmit, display, distribute, and otherwise use such User Content to provide, operate, maintain, improve, personalise, support, monitor, and secure the Services.

e. Feedback Rights

Any suggestions, ideas, enhancement requests, recommendations, reviews, comments, feedback, or other submissions relating to the Services or Platform provided by Users shall be deemed non-confidential. Users grant BrightChamps a perpetual, irrevocable, worldwide, royalty-free right and license to use, reproduce, modify, adapt, publish, commercialise, distribute, and otherwise exploit such Feedback for any lawful purpose, without notice, approval, attribution, or compensation to the User.

f. Trademark Protection

The BrightChamps name, logos, trademarks, service marks, trade names, course names, slogans, branding elements, designs, and related identifiers (“BrightChamps Marks”) are owned by or licensed to BrightChamps. Users shall not use, reproduce, display, imitate, register, or otherwise exploit any BrightChamps Marks without BrightChamps’ prior written consent.

7. User Conduct and Prohibited Activities

a. Acceptable Use of the Services

Users agree to access and use the Services in a lawful, respectful, responsible, and safe manner and in compliance with these Terms, Applicable Laws, community guidelines, and any instructions or policies issued by BrightChamps from time to time.

b. Prohibited Conduct

Users shall not, directly or indirectly:

  • violate any Applicable Laws, regulations, or third-party rights;
  • engage in abusive, threatening, harassing, discriminatory, defamatory, hateful, obscene, violent, exploitative, or otherwise inappropriate conduct;
  • bully, intimidate, shame, embarrass, or harass any Student, User, Instructor, or BrightChamps personnel;
  • impersonate another person or misrepresent identity, affiliation, qualifications, or authority;
  • upload, transmit, distribute, or share unlawful, harmful, infringing, fraudulent, misleading, or malicious content;
  • upload or distribute viruses, malware, spyware, harmful code, or disruptive technologies;
  • interfere with, disrupt, damage, overload, or impair the Platform, Services, servers, systems, or networks;
  • attempt to gain unauthorised access to Accounts, systems, data, or restricted areas of the Platform;
  • use bots, automated tools, crawlers, scrapers, or data-mining technologies;
  • record, reproduce, distribute, publicly display, or commercially exploit Live Classes, Class Recordings, or Platform Content without BrightChamps’ prior written consent;
  • engage in academic dishonesty, cheating, plagiarism, or fraudulent educational activities;
  • use the Services to develop competing educational products, services, datasets, or artificial intelligence systems.

c. Student Safety and Child Protection

BrightChamps is committed to maintaining a safe educational environment for Students and minors. Users shall not engage in grooming, exploitation, manipulation, abuse, or inappropriate conduct involving minors; attempt to communicate with Students outside authorised Platform channels; share personal contact details or external communication links with Students for unauthorised purposes; or share, upload, or transmit inappropriate, sexually explicit, exploitative, harmful, or age-inappropriate content.

d. Monitoring and Enforcement Rights

BrightChamps reserves the right, but not the obligation, to monitor, review, investigate, moderate, remove, restrict, suspend, or terminate access to the Services, Accounts, User Content, communications, or activities where BrightChamps reasonably believes that these Terms or Applicable Laws have been violated or safety, legal, operational, or security risks may arise.

8. Privacy and Data Protection

a. Privacy Policy

BrightChamps is committed to protecting the privacy, security, and confidentiality of Users’ personal information, including information relating to Students and minors. The collection, use, processing, storage, disclosure, transfer, retention, and protection of personal information in connection with the Services are governed by the BrightChamps Privacy Policy, which is incorporated into these Terms by reference.

b. Children’s Privacy and Parental Consent

Where required under Applicable Laws, including children’s privacy and data protection laws, Parents or Guardians consent to the collection, use, processing, storage, transfer, disclosure, and retention of the Student’s personal information in accordance with these Terms, the Privacy Policy, and Applicable Laws. BrightChamps does not knowingly collect personal information directly from children in a manner prohibited under Applicable Laws.

c. Data Collection and Use

BrightChamps may collect, generate, receive, process, and use personal information, technical information, educational information, usage data, communications, device information, payment-related information, and other data in connection with the operation and provision of the Services, including for providing and improving the Services, personalising learning experiences, communicating with Users, processing payments, customer support, safety and fraud prevention, analytics, and legal and compliance purposes.

d. Data Security

BrightChamps implements reasonable administrative, technical, organisational, and physical safeguards designed to protect personal information against unauthorised access, loss, misuse, disclosure, alteration, or destruction. However, no system can be guaranteed to be completely secure, and BrightChamps does not guarantee absolute security of information transmitted through or stored in connection with the Services.

e. User Rights and Requests

Subject to Applicable Laws, Users and Parents or Guardians may have certain rights relating to personal information, including rights to access, review, correct, update, delete, restrict, object to, or request portability of certain personal information. Requests may be submitted through the contact details or mechanisms provided in the Privacy Policy.

9. Disclaimer of Warranties and Educational Outcomes

a. Services Provided “As Is” and “As Available”

Users acknowledge and agree that access to and use of the Services is undertaken at their own discretion and sole risk. The Services, Platform, Platform Content, Live Classes, educational programs, Class Recordings, and all related materials and features are provided on an “as is,” “as available,” and “with all faults” basis to the fullest extent permitted under Applicable Laws.

To the fullest extent permitted under Applicable Laws, BrightChamps expressly disclaims all warranties, representations, conditions, and guarantees of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, satisfactory quality, and quiet enjoyment.

b. Educational Outcomes Disclaimer

BrightChamps provides educational and learning-related Services designed to support skill development, academic enrichment, and learning experiences. However, BrightChamps does not guarantee any specific educational, academic, professional, financial, behavioural, developmental, admissions-related, examination-related, or performance-related outcomes. BrightChamps does not warrant or guarantee improvement in grades, examination performance, admission into schools, colleges, or universities, mastery of any subject or skill, or achievement of any certification, qualification, or career-related objective.

c. Instructor and Educational Content Disclaimer

Opinions, explanations, advice, teaching styles, and educational approaches expressed by Instructors or Users are their own and do not necessarily reflect the views of BrightChamps. Educational content and learning materials are intended for general educational and informational purposes only and should not be construed as professional, medical, psychological, financial, legal, or academic counselling advice.

10. Limitation of Liability

To the fullest extent permitted under Applicable Laws, BrightChamps, its affiliates, subsidiaries, licensors, service providers, officers, directors, employees, contractors, instructors, agents, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or speculative damages arising out of or relating to the Services, Platform, these Terms, or the use of or inability to use the Services, including without limitation:

  • loss of profits, revenue, business, goodwill, opportunity, reputation, or anticipated savings;
  • loss or corruption of data, content, recordings, or educational materials;
  • reliance on any information, content, instruction, or output provided through the Services;
  • educational, academic, admissions-related, examination-related, or learning outcomes;
  • personal injury, emotional distress, or reputational harm;
  • technical failures, interruptions, delays, or security incidents;
  • unauthorised access to Accounts or data;
  • conduct, communications, or actions of Users, Students, Instructors, Parents, Guardians, or third parties.

To the fullest extent permitted under Applicable Laws, BrightChamps’ total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total Fees actually paid by the applicable User to BrightChamps for the specific Services giving rise to the claim during the six (6) months immediately preceding the event giving rise to such liability.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Applicable Laws.

11. Indemnification

To the fullest extent permitted under Applicable Laws, Users agree to defend, indemnify, and hold harmless BrightChamps, its affiliates, subsidiaries, licensors, service providers, officers, directors, employees, contractors, instructors, agents, and representatives from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees and expenses, arising out of or relating to:

  • the User’s or Student’s access to, use of, or misuse of the Services;
  • violation of these Terms, Applicable Laws, or third-party rights;
  • User Content or materials submitted through the Services;
  • infringement of intellectual property, privacy, publicity, confidentiality, or other rights;
  • fraud, misconduct, negligence, abusive conduct, or unlawful activities by the User or Student;
  • payment disputes, chargebacks, or fraudulent transactions;
  • violation of safeguarding, child protection, privacy, or data protection obligations.

BrightChamps reserves the right, at the User’s expense, to assume the exclusive defence and control of any matter subject to indemnification. Users shall not settle any claim affecting BrightChamps without BrightChamps’ prior written consent.

12. Suspension and Termination

a. Suspension and Restriction Rights

BrightChamps reserves the right, at its sole discretion and without liability, subject to Applicable Laws, to suspend, restrict, disable, remove, or limit access to the Services, Accounts, classes, content, features, or Platform functionality at any time where BrightChamps reasonably believes that these Terms, Applicable Laws, or applicable policies have been violated; safety, safeguarding, operational, reputational, legal, or security risks may arise; or fraudulent, abusive, disruptive, harmful, or inappropriate conduct has occurred.

b. Termination by Users

Users may discontinue use of the Services or request cancellation of their Account in accordance with these Terms and the applicable Refund and Cancellation Policy. Termination or cancellation of an Account shall not relieve Users of any payment obligations, liabilities, restrictions, or obligations accrued prior to the effective date of termination.

c. Termination by BrightChamps

BrightChamps reserves the right to terminate Accounts, Subscriptions, enrollments, or access to the Services at any time, subject to Applicable Laws, including where Users violate these Terms or applicable policies, where continued access may create legal, operational, reputational, safeguarding, or security risks, or where fraudulent, abusive, harmful, or unlawful conduct is suspected.

d. Effect of Suspension or Termination

Upon suspension or termination, the User’s rights to access and use the Services shall immediately cease or be restricted. Any provisions of these Terms which by their nature should survive suspension or termination shall survive, including provisions relating to intellectual property, payments, refunds, disclaimers, limitations of liability, indemnification, dispute resolution, privacy, and enforcement rights.

13. Governing Law and Dispute Resolution

a. Governing Law and Jurisdiction

These Terms, the Services, and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over matters not subject to arbitration.

b. Informal Resolution and Pre-Arbitration Notice

Before initiating any formal proceedings, the User and BrightChamps agree to first attempt in good faith to resolve any dispute, claim, or controversy through informal discussions. As a condition precedent to initiating arbitration, the party raising the dispute shall provide a written notice to the other party describing the nature of the dispute and the relief sought. Both parties agree to engage in good faith efforts to resolve the matter within a period of thirty (30) days.

c. Arbitration

To the fullest extent permitted under Applicable Laws, any dispute that cannot be resolved through informal resolution shall be finally resolved by binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and legal place of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in the English language by a sole arbitrator. The arbitral award shall be final and binding on the parties.

d. Class Action Waiver

To the fullest extent permitted under Applicable Laws, Users agree that any dispute, claim, or proceeding against BrightChamps shall be brought solely on an individual basis and not as part of any class action, collective action, representative proceeding, consolidated proceeding, or similar proceeding.

e. Limitation Period

To the fullest extent permitted under Applicable Laws, any claim or cause of action arising out of or relating to the Services or these Terms must be initiated within one (1) year from the date on which such claim arose, failing which such claim shall be permanently barred.

14. Relationship of Parties and Independent Contractors

BrightChamps engages instructors, educators, trainers, and third-party service providers (“Instructors”) as independent contractors and not as employees, agents, partners, or joint venturers of BrightChamps. Nothing in these Terms shall be construed to create an employer–employee relationship between BrightChamps and any Instructor.

To the fullest extent permitted under Applicable Laws, BrightChamps shall not be liable for any acts, omissions, statements, conduct, or communications of Instructors, including during live classes or educational sessions conducted through the Platform. Any views, opinions, or statements expressed by Instructors during the Services are their own and do not necessarily reflect the views of BrightChamps.

Nothing in these Terms shall be construed to create any partnership, joint venture, agency, employment, fiduciary, franchise, or similar relationship between the User and BrightChamps. Users acknowledge that they access and use the Services as independent parties.

15. User Interactions and Disputes

Users acknowledge and agree that they are solely responsible for their interactions, communications, conduct, and dealings with other Users, Students, Parents, Guardians, Instructors, or third parties in connection with the Services.

To the fullest extent permitted under Applicable Laws, BrightChamps shall not be responsible or liable for disputes, disagreements, or conflicts between Users or other participants; statements, conduct, actions, omissions, or communications of any User, Instructor, Parent, Guardian, or third party; or any loss, damage, injury, emotional distress, or claims arising from interactions occurring through or in connection with the Services.

BrightChamps reserves the right, but not the obligation, to monitor, review, investigate, intervene in, or take any action it deems appropriate with respect to disputes, conduct issues, safeguarding concerns, or interactions between Users or participants.

16. Communications and Electronic Notices

Users consent to receive communications from BrightChamps electronically, including through email, SMS/text messages, telephone calls, WhatsApp or similar messaging platforms, in-app notifications, push notifications, platform notices, or other electronic means permitted under Applicable Laws.

Such communications may include service-related announcements, account notifications, class reminders and scheduling updates, transactional communications, support communications, security alerts, and promotional or marketing communications where permitted under Applicable Laws.

Users may opt out of non-essential marketing communications at any time by following the unsubscribe instructions provided in such communications or by contacting BrightChamps through the Platform. Opting out of marketing communications does not affect transactional, legal, security, support, or service-related communications necessary for the operation of the Services.

By registering for the demo class, you consent to receive automated/AI calls, including those powered by artificial intelligence (AI), for updates, reminders, and promotional purposes related to your registration. You may opt out at any time by sending us an email at care@brightchamps.com.

17. Child Safety, Safeguarding, and Reporting Obligations

BrightChamps is committed to maintaining a safe and respectful learning environment for Students and Users.

BrightChamps may implement safeguarding, moderation, monitoring, recording, reporting, escalation, and safety-review measures designed to protect Students, Users, Instructors, and the integrity of the Services.

Users acknowledge and agree that BrightChamps, its Instructors, employees, contractors, or authorised representatives may, where required or permitted under Applicable Laws, report suspected abuse, exploitation, neglect, self-harm risks, illegal conduct, threats, or safeguarding concerns involving a Student or User to appropriate authorities, regulators, child protection agencies, law enforcement agencies, or other relevant entities; cooperate with governmental, regulatory, law enforcement, or child protection investigations; and preserve, review, monitor, or disclose relevant information, communications, recordings, or account information in connection with safeguarding, safety, legal, or compliance obligations.

BrightChamps reserves the right to suspend, restrict, investigate, report, or terminate access to the Services where it reasonably believes that conduct may violate Applicable Laws, child safety obligations, safeguarding requirements, or these Terms.

18. Miscellaneous Provisions

  1. Entire Agreement: These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Community Guidelines, and any additional policies, guidelines, notices, or supplemental terms referenced herein or made available through the Services, constitute the entire agreement between the User and BrightChamps regarding the Services and supersede all prior or contemporaneous understandings, communications, representations, negotiations, and agreements, whether oral or written, relating to the subject matter herein.
  2. Severability: If any provision of these Terms is determined to be unlawful, invalid, illegal, unenforceable, or void by a court, arbitrator, or competent authority, such provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  3. Waiver: No waiver by BrightChamps of any provision, right, remedy, breach, or default under these Terms shall be deemed a continuing waiver or a waiver of any other provision, breach, or default. Any waiver shall only be effective if made expressly in writing by an authorised representative of BrightChamps.
  4. Assignment: Users may not assign, transfer, delegate, sublicense, or otherwise transfer any rights or obligations under these Terms without BrightChamps’ prior written consent. BrightChamps may assign, transfer, delegate, subcontract, or otherwise transfer these Terms or any rights or obligations hereunder to any affiliate, successor, acquirer, or third party without restriction and without notice to Users.
  5. Force Majeure: BrightChamps shall not be liable for any delay, interruption, failure, or inability to perform any obligations under these Terms where such delay or failure results from events or circumstances beyond BrightChamps’ reasonable control, including natural disasters, pandemics or public health emergencies, acts of government or regulatory authorities, war, terrorism, civil unrest or labour disputes, internet, telecommunications, hosting, cloud service, or infrastructure failures, power outages or cybersecurity incidents, or failures of third-party service providers.
  6. Right to Modify: BrightChamps reserves the right to modify these Terms at any time. Please be aware that changes to the Terms may occur, and we encourage you to review them periodically. By continuing with BrightChamps, you agree to the current Terms and acknowledge that they may be subject to updates.
