1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, online platforms, products, services, content, courses, live classes, workshops, and other educational services (collectively, the “Services”) provided by BrightChamps and its affiliates, subsidiaries, and related entities (“BrightChamps,” “Company,” “we,” “us,” or “our”).

By accessing, browsing, registering for, purchasing, or using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy, Refund and Cancellation Policy, Community Guidelines, and any other policies, guidelines, or supplemental terms referenced herein or made available through the Services.

If you are accessing or using the Services on behalf of a minor, child, student, organisation, school, or other entity, you represent and warrant that you are authorised to accept these Terms on their behalf and agree to be fully responsible for such individual’s or entity’s use of the Services.

The Services are intended to be used under the supervision and consent of a parent or legal guardian where required by applicable law. Parents and legal guardians are responsible for monitoring and supervising minors’ use of the Services, including participation in live classes, communications, and interactions conducted through the platform.

If you do not agree to these Terms or are not authorised to accept them, you must not access or use the Services. We reserve the right, at our sole discretion, to modify, update, revise, or replace these Terms at any time. Any such modifications shall become effective upon posting or otherwise communicating the updated Terms through the Services.

Your continued access to or use of the Services after the effective date of any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must discontinue use of the Services and cancel your account, where applicable.

2. Definitions

For the purposes of these Terms, the following terms shall have the meanings set forth below:

  • “Account” means a registered account created by a User to access or use the Services.
  • “Applicable Laws” means all applicable laws, statutes, regulations, rules, regulatory guidance, governmental orders, and legal requirements applicable to the use of the Services, including the Indian Information Technology Act, 2000; Digital Personal Data Protection Act, 2023; Consumer Protection Act, 2019; COPPA (US); CCPA/CPRA; GDPR (EEA); and applicable child-safety and education laws.
  • “Content” means all educational materials, videos, live sessions, recorded classes, text, graphics, images, software, code, curriculum, worksheets, quizzes, projects, designs, trademarks, logos, audio, visual content, learning modules, and other materials made available through the Services.
  • “Instructor” or “Teacher” means any educator, tutor, mentor, trainer, contractor, employee, or third-party service provider engaged by BrightChamps to provide or facilitate Services.
  • “Live Classes” means real-time online educational sessions, workshops, mentoring sessions, webinars, camps, tutoring sessions, or interactive learning experiences conducted through the Platform.
  • “Parent” or “Guardian” means a parent, legal guardian, or other individual authorised to act on behalf of a minor Student.
  • “Platform” means the BrightChamps websites, mobile applications, student dashboards, communication systems, learning interfaces, software, tools, and related technological infrastructure.
  • “Services” means all products, services, courses, educational programs, live classes, self-paced learning modules, workshops, camps, competitions, assessments, mentorship sessions, support services, and related offerings provided through the Platform.
  • “Student” means any child, minor, learner, or participant enrolled in, attending, accessing, or otherwise using the Services.
  • “Subscription” means any recurring, instalment-based, bundled, prepaid, or ongoing paid plan, package, or enrollment arrangement.
  • “Third-Party Services” means any third-party platforms, software, tools, websites, payment processors, communication tools, integrations, or services used in connection with the Services.
  • “User,” “you,” or “your” means any individual or entity accessing, browsing, registering for, purchasing, or using the Services, including Parents, Guardians, Students, visitors, and authorised representatives.
  • “User Content” means any information, messages, images, videos, assignments, projects, feedback, reviews, submissions, communications, or other content uploaded, submitted, posted, transmitted, or otherwise provided by Users through the Services.
  • “Access Credentials” means the unique combination of identifiers, authentication tokens, passwords, OTPs, device-linked login tokens, biometric approvals, or other security information issued to or created by a User or Instructor. Access Credentials are personal to the Account holder and must not be shared.
  • “Authorised Representative” means a parent, legal guardian, or other adult who is legally competent under Applicable Law to enter into binding contracts on behalf of a Minor, and who has completed registration and accepted these Terms on the Minor’s behalf.

3. BrightChamps Platform and Services

BrightChamps is a technology-enabled educational platform that provides online learning experiences and educational services for students across K-12, with a focus on coding, robotics, mathematics, financial literacy, chess, English, and other curricular and co-curricular subjects.

The Services include, without limitation: live one-on-one and small-group classes; pre-recorded courses, self-paced modules, and on-demand learning content; mentorship, tutoring, and academic support sessions; workshops, camps, competitions, and assessment programs; access to digital learning materials, worksheets, and progress reports; and parent-facing dashboards and communication channels.

BrightChamps reserves the right, at its sole discretion, to add, modify, suspend, or discontinue any feature, course, content, or aspect of the Services at any time, with or without notice, subject to Applicable Laws and any specific commitments made at the point of purchase.

Some features may be region-specific, age-specific, or subject to additional eligibility criteria. BrightChamps does not guarantee the continuous availability of any specific Instructor, course, schedule, or class slot.

4. Eligibility and Use of the Platform

a. Eligibility and Registration Obligations

The Services may only be accessed and used by individuals who have the legal capacity and authority to enter into a binding agreement under Applicable Laws. Users under the age of majority must obtain the consent and supervision of a parent or legal guardian.

To access most Services, you must register an Account by providing accurate, current, and complete information. You agree to keep your Account information up to date and to notify us promptly of any changes.

b. Account Security

You are responsible for maintaining the confidentiality of your Access Credentials and for all activities that occur under your Account. You agree to notify BrightChamps immediately of any unauthorised use of your Account or any other breach of security.

BrightChamps will not be liable for any loss or damage arising from your failure to comply with these obligations. We reserve the right to suspend or terminate Accounts in case of suspected unauthorised access or security violations.

c. Acceptable Use

You agree to use the Platform only for lawful educational purposes and in compliance with these Terms, Applicable Laws, and any BrightChamps policies. You will not interfere with the Platform’s operation, attempt unauthorised access, or use automated systems (bots, scrapers) to interact with the Services.

d. Parental Supervision

Parents and legal guardians are responsible for supervising minors’ use of the Services, including participation in live classes and interactions with Instructors. Parents acknowledge that BrightChamps relies on parental supervision to ensure age-appropriate use.

e. Single-Household Use

Accounts are intended for use by a single household and may not be shared among unrelated households or used for commercial resale. Sharing Access Credentials with unauthorised third parties is prohibited.

5. Payments, Billing, and Subscription Terms

a. Fees and Payment Obligations

Users agree to pay all applicable fees, charges, subscription amounts, taxes, and other amounts associated with the Services in accordance with the pricing, payment plans, and instalment schedules made available at the time of purchase.

All payments must be made in the currency specified at the point of purchase. BrightChamps uses third-party payment processors and does not store full payment card details on its servers.

b. Subscriptions and Auto-Renewal

Subscriptions may be set to auto-renew at the end of each billing cycle unless cancelled by the User. You may cancel auto-renewal at any time through your Account settings or by contacting customer support.

c. Refunds and Cancellations

Refunds, cancellations, and credits are governed by the BrightChamps Refund and Cancellation Policy, which is incorporated into these Terms by reference. Refund eligibility depends on the type of Service purchased, the timing of the cancellation request, and applicable consumer-protection laws.

d. Taxes

All fees are exclusive of applicable taxes unless otherwise stated. Users are responsible for any sales tax, value-added tax, GST, or other tax obligations arising in connection with their use of the Services.

e. Late Payment and Failed Transactions

BrightChamps reserves the right to suspend access, restrict booking new sessions, or terminate the Account in the event of overdue payments, failed transactions, chargebacks, or payment disputes.

6. Intellectual Property Rights

a. Ownership of Platform and Content

The Platform, Services, and all content, materials, technology, intellectual property, designs, trademarks, logos, brand names, software, code, curriculum, methodologies, and assessments made available through the Services are owned by or licensed to BrightChamps and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

b. Limited License to Users

Subject to your continued compliance with these Terms, BrightChamps grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal, non-commercial educational use only.

c. Restrictions

You may not:

  • Copy, reproduce, modify, adapt, translate, create derivative works of, publish, distribute, sell, lease, license, or otherwise commercially exploit any portion of the Services or Content;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the Platform;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices from the Platform or Content;
  • Use the Platform or Content for any unauthorised purpose, including training machine-learning models, building competing products, or aggregating data.

d. User Content License

By submitting User Content (assignments, projects, feedback, reviews) to the Services, you grant BrightChamps a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, modify, display, and distribute such User Content solely for purposes of operating and improving the Services, providing personalised feedback, and complying with legal obligations.

You represent and warrant that you own or have all necessary rights to submit such User Content and that it does not infringe any third-party rights.

e. Trademarks

“BrightChamps” and associated logos are trademarks of the Company. You may not use any BrightChamps trademark without our prior written consent.

7. User Conduct and Prohibited Activities

a. Acceptable Use of the Services

Users agree to access and use the Services in a lawful, respectful, responsible, and safe manner and in compliance with all Applicable Laws and these Terms.

b. Prohibited Activities

Users must not, and must not permit any third party to:

  • Violate any Applicable Law or third-party right (including intellectual property, privacy, or publicity rights);
  • Engage in harassment, bullying, hate speech, discrimination, threats, or any conduct that endangers the safety, dignity, or well-being of Students, Instructors, or other Users;
  • Share, upload, transmit, or distribute any content that is sexually explicit, violent, defamatory, fraudulent, misleading, or otherwise inappropriate, particularly given that the Services are used by minors;
  • Attempt to gain unauthorised access to other Users’ Accounts, BrightChamps systems, or third-party services connected to the Platform;
  • Use the Services to send spam, phishing, malware, viruses, or any other malicious code;
  • Solicit personal information from any minor, contact a Student outside official BrightChamps channels, or attempt to establish personal relationships with Students;
  • Record, transcribe, or distribute any live session, class, or instructor communication without BrightChamps’ prior written consent;
  • Engage in any activity that disrupts, damages, or interferes with the proper functioning of the Services.

c. Enforcement

BrightChamps reserves the right, at its sole discretion, to investigate, remove content, restrict access, suspend or terminate Accounts, and report to law enforcement any conduct that violates these Terms or Applicable Laws.

8. Privacy and Data Protection

a. Privacy Policy

BrightChamps is committed to protecting the privacy, security, and confidentiality of Users’ personal information, including children’s data. Our collection, use, processing, sharing, transfer, retention, and disclosure of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

b. Children’s Data

We collect personal information from children only with verifiable parental consent. Parents may review, modify, or request deletion of their child’s personal information at any time. We comply with COPPA (US), the DPDP Act (India), GDPR (EEA), and other applicable child-protection laws.

c. Session Recordings

Live sessions may be recorded for quality assurance, child safety, training, dispute resolution, and educational continuity purposes. Recordings are stored securely, access is restricted on a need-to-know basis, and retention is limited to the period necessary for the stated purpose.

d. Data Security

BrightChamps implements industry-standard technical and organisational safeguards to protect personal data against unauthorised access, alteration, disclosure, or destruction. However, no system is 100% secure, and we cannot guarantee absolute security.

e. International Transfers

BrightChamps operates across multiple jurisdictions and may transfer personal data internationally in accordance with Applicable Laws and appropriate safeguards (e.g., standard contractual clauses, adequacy decisions).

f. User Rights

Subject to Applicable Laws, you have rights to access, rectify, erase, restrict, or object to the processing of your personal data, as well as to data portability. To exercise these rights, contact care@brightchamps.com.

9. Disclaimer of Warranties and Educational Outcomes

a. Services Provided “As Is” and “As Available”

Users acknowledge and agree that access to and use of the Services is provided on an “as is” and “as available” basis, without warranties or representations of any kind, either express or implied, to the fullest extent permitted under Applicable Laws.

b. No Guarantee of Educational Outcomes

BrightChamps does not warrant or guarantee any specific educational outcome, learning result, academic achievement, performance improvement, certification, employment opportunity, or skill mastery resulting from the use of the Services. Educational progress depends on numerous factors, including student effort, prior knowledge, attendance, and individual learning differences.

c. No Warranty of Uninterrupted Service

BrightChamps does not warrant that the Services will be uninterrupted, error-free, timely, secure, or free from viruses or other harmful components. Scheduled maintenance, technical issues, third-party service failures, or force majeure events may affect Service availability.

d. Third-Party Content and Services

The Services may include links to or integrations with third-party websites, content, products, or services. BrightChamps is not responsible for the accuracy, reliability, or availability of any third-party content or service, and inclusion does not imply endorsement.

e. Disclaimer of Implied Warranties

To the fullest extent permitted under Applicable Laws, BrightChamps disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted under Applicable Laws, BrightChamps, its affiliates, subsidiaries, licensors, service providers, instructors, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, loss of opportunity, or loss of educational outcomes, arising out of or in connection with the use of, or inability to use, the Services.

In no event shall BrightChamps’ aggregate liability arising out of or in connection with these Terms or the Services exceed the total amount paid by the User to BrightChamps in the twelve (12) months immediately preceding the event giving rise to the liability, or INR 10,000 (or its equivalent in the local currency), whichever is greater.

Nothing in these Terms shall exclude or limit BrightChamps’ liability for death or personal injury caused by gross negligence, fraud, willful misconduct, or any other liability that cannot be excluded under Applicable Laws.

11. Indemnification

To the fullest extent permitted under Applicable Laws, Users agree to defend, indemnify, and hold harmless BrightChamps, its affiliates, subsidiaries, directors, officers, employees, agents, and instructors from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • The User’s breach of these Terms, the Privacy Policy, or any Applicable Law;
  • The User’s misuse of the Services or Content;
  • Any User Content submitted to or through the Services;
  • Any infringement by the User of any third-party intellectual property, privacy, or other right;
  • Any conduct by a Minor under the User’s supervision.

12. Suspension and Termination

a. Suspension and Restriction Rights

BrightChamps reserves the right, at its sole discretion and without liability, subject to Applicable Laws, to suspend, restrict, or terminate a User’s access to the Services, in whole or in part, with or without notice, if BrightChamps has reasonable grounds to believe the User has breached these Terms, engaged in prohibited conduct, posed a safety risk, or violated Applicable Laws.

b. User-Initiated Termination

You may terminate your Account at any time by contacting customer support. Termination does not entitle you to a refund except as expressly provided in our Refund and Cancellation Policy.

c. Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, governing law, and dispute resolution) shall survive.

13. Governing Law and Dispute Resolution

a. Governing Law and Jurisdiction

These Terms, the Services, and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between BrightChamps and the User shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles.

Subject to the dispute resolution provisions below, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

b. Informal Resolution

Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute informally by contacting BrightChamps at care@brightchamps.com and engaging in good-faith negotiations for a period of at least thirty (30) days.

c. Arbitration

Any unresolved dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by BrightChamps, the seat of arbitration shall be Bengaluru, India, and the language of arbitration shall be English.

d. Class Action Waiver

To the fullest extent permitted under Applicable Laws, all disputes shall be conducted on an individual basis only, and not as a class, collective, or representative action.

e. Time Limit for Claims

Any claim arising out of or related to these Terms or the Services must be brought within one (1) year after the cause of action arises, or it shall be permanently barred.

14. Relationship of Parties and Independent Contractors

a. Independent Contractor Relationship

BrightChamps engages instructors, educators, trainers, and third-party service providers (“Instructors”) as independent contractors or via affiliated entities. Instructors are not employees, agents, or partners of BrightChamps unless expressly designated as such in a written agreement.

b. No Agency, Partnership, or Joint Venture

Nothing in these Terms shall be construed to create an agency, partnership, joint venture, employer-employee, or fiduciary relationship between BrightChamps and any User or Instructor.

c. Instructor Conduct

While BrightChamps applies quality-assurance and background-check processes to Instructors, BrightChamps does not warrant the conduct of any individual Instructor and shall not be held vicariously liable for any act or omission of an Instructor outside the scope of their engagement.

15. User Interactions and Disputes

Users acknowledge and agree that they are solely responsible for their interactions, communications, conduct, and dealings with other Users, Students, Instructors, and third parties on the Platform. BrightChamps reserves the right (but is not obligated) to monitor disputes between Users and may take action it deems appropriate, but is not responsible for resolving such disputes. Users release BrightChamps from any claims, demands, or damages arising out of or related to any dispute with another User.

16. Communications and Electronic Notices

Users consent to receive communications from BrightChamps electronically, including through email, SMS/text messages, telephone calls, WhatsApp or other messaging services, push notifications, and in-app messages. These communications may include account notifications, transactional alerts, service updates, schedule reminders, promotional offers, and other information relating to the Services.

Users may opt out of marketing communications at any time by using the unsubscribe link in our emails, replying STOP to SMS messages, or contacting care@brightchamps.com. Transactional and service-related communications cannot be opted out of as they are necessary for the operation of the Services.

All notices, agreements, and disclosures sent electronically satisfy any legal requirement that such communications be in writing.

17. Child Safety, Safeguarding, and Reporting Obligations

BrightChamps is committed to maintaining a safe and respectful learning environment for Students and Users. We may implement safeguarding measures, including instructor background checks, training, recording of sessions, monitoring of communications, and prompt response to safeguarding concerns.

Any User who becomes aware of any concern relating to the safety, well-being, or welfare of a Student or other minor — including suspected abuse, exploitation, inappropriate conduct, grooming, or any other safeguarding issue — must immediately report the matter to BrightChamps’ Safeguarding Lead at care@brightchamps.com.

BrightChamps cooperates fully with law enforcement and child-protection authorities and reserves the right to report any safeguarding concern to the relevant authorities in accordance with Applicable Laws.

18. Miscellaneous Provisions

a. Entire Agreement

These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Community Guidelines, and any additional policies or supplemental terms referenced herein, constitute the entire agreement between BrightChamps and the User with respect to the Services and supersede all prior or contemporaneous agreements.

b. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

c. No Waiver

The failure of BrightChamps to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of BrightChamps.

d. Assignment

Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of BrightChamps. BrightChamps may assign these Terms in connection with a merger, acquisition, sale of assets, or other corporate transaction.

e. Force Majeure

BrightChamps shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, internet or telecommunications failure, or other force majeure events.

f. Headings

Headings used in these Terms are for convenience of reference only and shall not affect the interpretation of any provision.

g. Survival

Provisions that by their nature should survive termination of these Terms — including intellectual property rights, confidentiality, indemnification, limitation of liability, governing law, and dispute resolution — shall survive.
